Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Citiwise ("we", "us", "our") websites, project microsites, and platform (collectively, the "Services"). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Services

Citiwise is a software platform that helps real estate developers launch project microsites, manage inventory, capture leads, and generate offer letters. We are not a real estate agent, broker, legal firm, or financial advisor. We do not guarantee sales outcomes or the accuracy of any developer-provided information.

4A. Order of Precedence

If there is any conflict among documents, the following order of precedence applies (highest first): (i) an executed Order Form or similar written agreement between you and us; (ii) any applicable territory‑specific addendum or schedule; (iii) these Terms; and (iv) any other policies referenced herein. The Order Form may expressly vary these Terms for the applicable order.

2. Accounts and responsibilities

  • Developers are responsible for all content uploaded to the platform, including project details, pricing, images, and legal disclosures.
  • Developers must ensure compliance with applicable laws, including RERA and consumer protection laws in their relevant state/UT.
  • Buyers should independently verify project details and statutory approvals with the developer and relevant authorities.
  • You must keep your login credentials secure and promptly notify us of any unauthorized use of your account.

3. Acceptable use

  • Do not use the Services for unlawful, harmful, misleading, or fraudulent activities.
  • Do not attempt to gain unauthorized access to any systems or data, or disrupt the Services.
  • Do not upload content that infringes intellectual property rights, violates privacy, or is defamatory or obscene.

4. Offers, commercial terms, and payments

Offer letters generated via the platform are based on inputs provided by developers. They are indicative commercial documents and do not by themselves constitute a sale deed or a binding agreement to sell. Any booking amounts or token payments, if collected by developers, are managed by the developers outside our platform. We do not hold, process, or settle such funds on behalf of developers or buyers.

Commercial terms for access to and use of Citiwise (including billing model, term, and scope of use) may vary by customer type, use case (e.g., per‑project, annual, enterprise), and geography. Unless otherwise agreed in writing, the applicable commercial terms are those set forth in the executed order form, proposal, or similar written agreement between you and us (each, an “Order Form”). Marketing pages and other public materials are informational only and do not constitute binding offers.

  • Taxes and currency: Fees are exclusive of applicable taxes (e.g., GST/VAT). You are responsible for all taxes, duties, and government charges associated with your purchase, other than taxes based on our net income. Unless stated otherwise in an Order Form, invoices will be issued in the currency specified there and payable in that currency.
  • Invoicing and payment: Payment terms (e.g., due dates, invoicing frequency, and payment methods) are specified in the Order Form. Late or missing payments may result in suspension or limitation of access to the Services after reasonable notice.
  • Changes: We may update generally available commercial terms prospectively. Any change to your existing term or committed plan will apply on renewal or upon mutual written agreement.
  • Territory‑specific terms: Certain countries or regions may require additional terms, which will be provided in a territory‑specific addendum or schedule and, where applicable, will prevail over inconsistent general terms solely for the relevant territory.

5. RERA and legal compliance

Developers are solely responsible for ensuring that all communications, advertisements, and offers made through the Services comply with the Real Estate (Regulation and Development) Act, 2016 (RERA) and corresponding state rules, including use of valid RERA registration numbers, accurate project details, and required disclosures. We may provide features that assist compliance, but we do not provide legal advice or certify compliance.

6. Intellectual property

We retain all rights, title, and interest in and to the Services, including software, UI/UX, and content we provide. You retain rights to your content. By uploading content, you grant us a limited license to host, display, and process it to operate the Services.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and process personal data in accordance with applicable Indian laws (including the DPDP Act 2023 and IT Rules 2011).

8. Third-party services and WhatsApp

We may integrate with third-party services such as WhatsApp for sharing links. Your use of third-party services is governed by their terms and privacy policies. Ensure you have the recipient’s consent before sending messages.

9. Warranty disclaimer

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

10. Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability for all claims relating to the Services shall not exceed the amount paid by you to us for the Services in the 12 months preceding the event giving rise to liability.

11. Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms or use the Services in a manner that creates risk or potential legal exposure for us or other users. You may stop using the Services at any time.

12. Changes to the Services and Terms

We may update the Services and these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms and updating the effective date above. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of India. Subject to applicable law, courts located in Mumbai, Maharashtra shall have exclusive jurisdiction. Nothing herein limits statutory consumer rights.

15. Territory‑Specific Addenda

The following addenda apply in addition to these Terms where relevant to your contracting entity, billing address, or use of the Services in the listed territory. To the extent of any inconsistency, the applicable addendum prevails for that territory.

15.1 India Addendum

  • Regulatory context: You are responsible for compliance with the Real Estate (Regulation and Development) Act, 2016 (RERA) and applicable state rules, including accurate statutory disclosures in communications and offer documents.
  • Data protection: Processing of personal data should align with the Digital Personal Data Protection Act, 2023 (DPDP Act 2023) and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (IT Rules 2011), as applicable.
  • Taxes: Where GST applies, invoices may include GST as per law; you are responsible for all indirect taxes and duties other than our taxes on income.
  • Governing law (if specified in Order Form): Subject to the Order Form, Indian law may govern and courts at the specified venue may have jurisdiction.

15.2 EU/UK Addendum (placeholder)

If you process personal data of individuals in the EU/UK or contract with an EU/UK entity, additional terms (including controller/processor roles, lawful bases, and international transfer mechanisms) may apply and will be provided in an EU/UK addendum.

15.3 US‑California Addendum (placeholder)

If you target California residents, additional terms under the CCPA/CPRA may apply and will be provided in a California addendum.
